Seller Agreement
The terms that govern selling on Let's Soirée.
Overview
This Seller Agreement ("Agreement") governs your participation as a seller on the Let's Soirée marketplace. By applying for, opening, or operating a Let's Soirée shop, you agree to this Agreement, the Terms of Service, Privacy Policy, Buyer Policy, Marketplace Rules, and Copyright & Intellectual Property Policy.
1. Opening & Maintaining a Shop
You must provide accurate and truthful information about yourself and your shop. You are responsible for keeping your shop information, business information, location information, and contact information accurate and current.
2. Seller Verification
Let's Soirée may require seller information for: • Identity verification; • Payment processing; • Seller payouts; • Fraud prevention; • Tax compliance; • Marketplace compliance; and • Legal obligations. Sellers must complete required payment-provider onboarding and verification before receiving payouts. Let's Soirée may restrict selling activity or payouts when required verification is incomplete. Let's Soirée may also collect and verify information required under applicable marketplace laws, including requirements applicable to qualifying high-volume sellers.
3. Supported Listings
Sellers may list: • Instant Digital Downloads; • Custom or Made-to-Order Digital Files; • Physical and Handmade Goods; and • Custom Physical Goods or Custom Order Requests. Let's Soirée does not currently support listings for: • Event-planning services; • Photography services or bookings; • DJ or entertainment bookings; • Catering services or staffing; • Venue rentals; • Equipment rentals; • Appointments; • Time-slot-based services; • Financial loans; • Deposits; or Other service-based transactions not expressly supported by the Platform.
4. Listing Standards
Listings must accurately describe the product being sold. Sellers must provide, as applicable: • Accurate product descriptions; • Clear photographs or previews; • Accurate dimensions; • File type and format; • Quantity; • Customization requirements; • Production time; • Processing time; • Shipping information; • Pickup information; • Delivery information; • Return/exchange policy; and • Cancellation policy. Sellers may not use misleading titles, deceptive descriptions, inaccurate images, hidden charges, or misleading search terms.
5. Intellectual Property
Sellers represent that they own or have the necessary rights, licenses, permissions, or authorizations to use all content included in their listings. This includes designs, graphics, photographs, illustrations, fonts, logos, text, templates, digital files, and other intellectual property. Sellers may not list unauthorized copyrighted, trademarked, or otherwise protected material.
6. Fulfillment Methods
Let's Soirée currently supports: Domestic Shipping United States domestic shipping only. International shipping is not currently supported. Local Delivery Sellers may offer local delivery within the areas configured in their shop. Local Pickup Sellers may offer local pickup according to their disclosed pickup instructions and holding period. Sellers may not advertise a fulfillment method they have not configured or cannot reasonably provide.
7. Shipping
Sellers determine shipping methods and shipping charges. The 6% Let's Soirée marketplace fee does not apply to shipping charges. Sellers are responsible for: • Appropriate packaging; • Timely fulfillment; • Accurate shipping information; • Selecting an appropriate carrier; • Providing tracking information when available; and • Communicating material shipping issues to buyers.
8. Local Delivery
Sellers offering local delivery are responsible for: • Delivery areas; • Delivery schedules; • Delivery arrangements; • Delivery charges; • Buyer communication; and • Reasonable proof of delivery where appropriate. Let's Soirée is not a delivery provider unless it expressly introduces a separate delivery service.
9. Local Pickup
Sellers offering local pickup must disclose: • Pickup location or general area; • Pickup instructions; • Pickup hours or windows; • Holding period; and • Missed-pickup policy. Unless otherwise clearly disclosed before checkout, the default holding period is 7 calendar days after the buyer is notified that the order is ready. Custom, perishable, or time-sensitive products may have a different holding period when clearly disclosed. A seller may not automatically treat the entire purchase price as forfeited solely because a buyer misses a pickup window.
10. Digital Products
Instant digital downloads must contain the deliverable file at the time the listing is published. After payment confirmation, the buyer should receive access through the Platform. Purchased digital products remain accessible through the buyer's account or order history and do not automatically expire. Sellers may update purchased digital products. Eligible existing purchasers may receive access to updated versions without an additional purchase. Updates may include corrections, improvements, formatting changes, additional pages, or other enhancements. A seller should not materially transform an existing product into a substantially different product simply to avoid treating the new product as a separate listing. Unless otherwise stated, the seller retains copyright and the buyer receives a limited license to use the purchased product.
11. Custom Digital Products
Custom digital products may require information from the buyer before production begins. Required information may include: • Names; • Dates; • Event information; • Photos; • Text; • Customization instructions; or • Approval information. When required information is missing, the order may be placed into Waiting for Customer status. While an order is in this status: • The seller's production clock pauses; • The buyer receives a request for the missing information; • The seller may send a reminder; and • Production resumes when the necessary information is received. The default response period is 7 calendar days, unless a different period is clearly disclosed in the listing. If required information is not provided within the applicable period, the seller may cancel the order according to the applicable cancellation and refund rules.
12. Custom Physical Products
Custom physical-product listings must clearly disclose: • Customization requirements; • Production timeframe; • Proof or approval process, if applicable; • Number of revisions, if applicable; • Buyer responsibilities; • Cancellation restrictions; and • Return/refund rules. Production timelines may pause when the buyer has not provided information required to complete the order.
13. Pricing & Fees
All prices must be listed in U.S. dollars. Let's Soirée currently charges sellers a 6% marketplace fee. The fee applies to: • Product price; and • Applicable customization charges. The fee does not apply to: • Shipping charges; • Sales tax; or • Government-imposed taxes or fees. Payment-processing fees are separate from the marketplace fee and are the seller's responsibility. There is currently: • $0 listing fee; and • $0 monthly seller subscription fee.
14. Sales Tax
Let's Soirée will calculate, collect, and remit applicable sales and use taxes on taxable transactions for which Let's Soirée is legally responsible as a marketplace provider. For taxable sales of tangible personal property that Let's Soirée facilitates and that are subject to New York marketplace-provider collection requirements, Let's Soirée intends to operate in accordance with applicable New York law. Sellers remain responsible for their own tax registration, reporting, and remittance obligations for sales that are not facilitated by Let's Soirée and for taxes or obligations that are not collected or remitted by Let's Soirée. The tax treatment of digital products may differ from the treatment of tangible personal property and will be implemented according to applicable law.
15. Seller Payouts
Seller payouts are processed through the applicable payment provider and generally follow the provider's standard payout schedule. Payouts may be delayed, restricted, held, or adjusted because of: • Refunds; • Chargebacks; • Disputes; • Fraud investigations; • Verification issues; • Payment-provider reserves or holds; or • Other legitimate transaction adjustments.
16. Refunds
The seller is generally financially responsible for refunds associated with the seller's transaction. Let's Soirée may facilitate the refund process. Let's Soirée does not guarantee that it will personally fund or absorb a refund owed by a seller. For a full refund, the applicable 6% marketplace fee is reversed. For a partial refund, the marketplace fee is recalculated based on the remaining eligible product and customization amount. Payment-processing fees are not guaranteed to be recovered.
17. Seller Balances
If a refund, chargeback, adjustment, or other transaction obligation causes a seller to owe money to Let's Soirée, the amount may remain due. Where permitted, Let's Soirée may recover amounts from available seller funds, future payouts, or other lawful recovery mechanisms.
18. Chargebacks
Sellers are generally financially responsible for chargebacks associated with their transactions, subject to payment-provider rules. Let's Soirée may manage or assist with the dispute process. Seller obligations relating to chargebacks survive shop closure.
19. Returns & Exchanges
Sellers must configure their shop's return and exchange policies. Seller policies must be clearly disclosed before checkout. Sellers may establish no-return or no-exchange policies where permitted by law, particularly for custom, personalized, or digital products. However, Let's Soirée may intervene when an order involves: • Non-delivery; • A materially incorrect item; • Significant damage; • A defective product; • A materially inaccurate listing; or • Another significant fulfillment or policy issue.
20. Cancellations
Sellers must follow their disclosed cancellation policy and applicable marketplace rules. If a seller cannot fulfill an accepted order, the seller should cancel the order and provide the applicable refund. Repeated or unreasonable seller cancellations may result in enforcement action. Buyer cancellation rights are governed by the seller's disclosed policy, marketplace baselines, and applicable law. Custom orders may have stricter cancellation rules after production begins if clearly disclosed before purchase and permitted by law.
21. Customer Service
Sellers must respond to buyer communications reasonably promptly and make good-faith efforts to resolve fulfillment problems. Where an order problem remains unresolved, the buyer may escalate the issue to Let's Soirée.
22. Buyer Information
Seller access to buyer information is limited to information reasonably necessary to fulfill an order or comply with legitimate marketplace processes. Sellers may not use buyer information for unauthorized marketing, harassment, solicitation, or unrelated purposes. Contact information may be exchanged when reasonably necessary for legitimate fulfillment, including local pickup or delivery.
23. Off-Platform Transactions
Sellers may not use Let's Soirée to identify customers and move transactions to another payment method or marketplace for the purpose of avoiding Let's Soirée fees or policies. This includes directing buyers to: • Venmo; • Zelle; • Cash App; • PayPal; • Cash; • Bank transfers; • Wire transfers; • External websites; or • Other payment channels.
24. Reviews
Reviews must represent genuine purchasing experiences. Sellers may not: • Create fake reviews; • Manipulate reviews; • Purchase reviews; • Coerce buyers into positive reviews; • Offer incentives intended to manipulate ratings; or • Retaliate against buyers for honest reviews. Sellers may respond to reviews. Let's Soirée may remove reviews that violate applicable review or content policies.
25. Suspension & Termination
Let's Soirée may warn, restrict, suspend, or terminate a seller based on the seriousness and frequency of violations. Potential violations include: • Fraud; • Copyright infringement; • Prohibited products; • Off-platform transactions; • Repeated fulfillment failures; • Excessive cancellations; • Chargeback abuse; • False information; • Payment verification failures; • Safety concerns; or • Other serious policy violations. Let's Soirée does not use a mandatory three-strikes system. Severe violations may result in immediate suspension or permanent removal.
26. Closing a Shop
Closing a shop does not eliminate outstanding obligations. Seller obligations may continue for: • Existing orders; • Refunds; • Chargebacks; • Fees; • Customer disputes; • Copyright claims; • Intellectual-property claims; and • Other transaction-related obligations.
27. Founding Seller Program
Qualifying Founding Sellers pay only a 6% marketplace fee while eligible under the Founding Seller Program. Founding Seller status may be affected by permanent shop closure, permanent account termination, shop ownership transfer, creation of a replacement account or shop, or other circumstances specified in the Founding Seller Program terms. Let's Soirée may preserve Founding Seller status for a returning seller where appropriate and where the same underlying seller remains eligible and in good standing.
This platform document is maintained by Let’s Soirée. It cannot be edited or overridden by a Store.
