Terms of Service

How Let’s Soirée works, what you agree to when you shop or sell, fees, payouts, refunds, and account rules.

Overview

Welcome to Let's Soirée. These Terms of Service ("Terms") govern your access to and use of the Let's Soirée marketplace, website, storefronts, features, and related services (collectively, the "Platform"). By creating an account, opening a shop, purchasing a product, or otherwise using the Platform, you agree to these Terms and the policies incorporated into them, including the Seller Agreement, Buyer Policy, Marketplace Rules, Privacy Policy, and Copyright & Intellectual Property Policy.

About Let's Soirée

Let's Soirée is an online marketplace connecting independent creators, makers, and sellers with buyers seeking products for parties, celebrations, and related occasions. Let's Soirée currently supports the purchase and sale of: * Instant digital downloads * Custom and made-to-order digital files * Physical and handmade goods * Custom physical goods Let's Soirée is currently a goods marketplace. The Platform does not currently support: * Event-planning services * Photography bookings * DJ or entertainment bookings * Venue rentals * Catering services or event staffing * Appointments or time-slot-based services * Equipment rentals * Deposits * Installment payments * Offline invoicing * Financial loans * Quotes or service reservations Let's Soirée may expand its marketplace offerings in the future. Any new product or service category may be subject to additional terms.

Account Eligibility

You must be at least 18 years old to create an account or make a purchase through Let's Soirée. You agree to provide accurate, current, and complete information when creating and maintaining your account. You are responsible for: * Maintaining the confidentiality of your account credentials; * Keeping your account information accurate; * All activity conducted through your account; and * Promptly notifying Let's Soirée of unauthorized account activity.

Your Account and Your Shop

Let's Soirée distinguishes between an individual user account and a public shop. Your individual account may contain private information such as your legal name, personal email address, telephone number, residential address, payment-related information, and account credentials. Your public shop may contain information you choose to display, including: * Shop name * Logo * Cover image * Shop description * Public business information * Public location information * Shop policies * Public contact information Personal account information is not automatically displayed publicly simply because you operate a shop. Let's Soirée may collect additional private information from sellers when required for payment processing, identity verification, tax compliance, fraud prevention, marketplace compliance, or legal obligations.

Marketplace Relationship

Let's Soirée operates as a marketplace connecting independent sellers and buyers. Unless expressly stated otherwise, Let's Soirée is not the manufacturer, designer, creator, or direct seller of products listed by independent sellers. When you purchase a product from a seller, you generally enter into a transaction directly with that seller. Sellers are responsible for the products they list, their product descriptions, fulfillment, and their obligations to buyers. Let's Soirée provides marketplace infrastructure and processes intended to facilitate transactions, communications, payments, order management, reporting, and dispute resolution.

Purchases and Payments

All purchases made through Let's Soirée must be completed through the Platform's authorized checkout. Full payment is required at checkout unless Let's Soirée expressly introduces another payment method. Let's Soirée does not currently support: * Split payments * Partial deposits * Installment financing * Offline invoicing Users may not move a transaction found through Let's Soirée to an external payment method for the purpose of avoiding marketplace fees, policies, or transaction records. Prohibited off-platform payment methods include, without limitation: * Venmo * Zelle * Cash App * PayPal * Cash * Direct bank transfers * Wire transfers * External checkout pages

Marketplace Fees

Let's Soirée currently charges sellers a 6% marketplace fee. The 6% marketplace fee applies to: * Product price; and * Applicable customization charges. The 6% marketplace fee does not apply to: * Shipping charges; * Sales tax; or * Government-imposed taxes or fees. Payment-processing fees are separate from the Let's Soirée marketplace fee and are the seller's responsibility. Let's Soirée currently charges: * $0 listing fee * $0 monthly seller subscription Fees may be deducted from seller transaction proceeds before payout.

Founding Sellers

Qualifying Founding Sellers pay only a 6% Let's Soirée marketplace fee while they remain eligible under the Founding Seller Program. A Founding Seller generally means a seller who: 1. Applies during the designated Founding Seller enrollment period; 2. Is accepted into the program; 3. Completes seller onboarding; 4. Completes required payment-provider verification; and 5. Activates their storefront during the qualifying period. Additional Founding Seller benefits may be provided under separate program terms. Let's Soirée may establish rules governing the effect of shop closure, permanent removal, ownership transfer, or account replacement on Founding Seller status.

Seller Payouts

Seller payouts are processed through the applicable payment provider and generally follow the payment provider's standard payout schedule. Let's Soirée does not guarantee a particular payout date. Payouts may be delayed, restricted, adjusted, or held where permitted because of: * Refunds * Chargebacks * Payment disputes * Fraud investigations * Seller verification issues * Payment-provider reserves or holds * Account restrictions * Other legitimate transaction adjustments

Refunds and Transaction Adjustments

Sellers are generally financially responsible for refunds associated with their products, fulfillment, and transactions. Let's Soirée may review transactions, facilitate communication, process or facilitate refunds through the payment system, reverse applicable marketplace fees, and take other marketplace actions. Let's Soirée does not guarantee that it will personally fund or absorb refunds owed by sellers, including large refunds where the seller does not have sufficient available funds. For a full refund, the applicable 6% Let's Soirée marketplace fee will be reversed. For a partial refund, the marketplace fee will be recalculated based on the remaining eligible product and customization amount. Payment-processing fees are not guaranteed to be recovered when a transaction is refunded. If a refund or other adjustment causes a seller to owe money to Let's Soirée, the amount may remain due after the seller's shop is closed.

Chargebacks

Sellers are generally financially responsible for chargebacks associated with their transactions, subject to applicable payment-provider rules. Let's Soirée may assist with chargeback and payment disputes by: * Providing transaction records; * Providing fulfillment information; * Communicating with payment providers; * Supporting dispute responses; and * Recovering amounts from seller funds where permitted.

Buyer Protection and Order Issues

Let's Soirée provides a marketplace process through which buyers may report order problems. A buyer may report: * Non-delivery; * Significant damage; * Wrong item; * Item materially different from its listing; * Missing digital product; * Inaccessible digital product; * Materially defective digital file; * Seller failure to fulfill; * Seller non-responsiveness; * Fraud; or * Other marketplace-policy violations. Let's Soirée may review the transaction and facilitate an appropriate resolution. Let's Soirée does not guarantee that it will personally fund or absorb refunds owed by sellers. Buyer protection does not automatically guarantee a refund for buyer remorse, incorrect buyer information, incorrect size or color selection, missed pickup, failure to provide required customization information, or matters governed by a clearly disclosed seller policy, subject to applicable law.

Acceptable Use

You agree not to use Let's Soirée to: * Violate applicable law; * Infringe copyright, trademark, patent, or other intellectual-property rights; * Upload unauthorized or infringing content; * Harass, threaten, defraud, or deceive another person; * Circumvent marketplace fees; * Conduct prohibited off-platform transactions; * Scrape or crawl the Platform in a manner that violates these Terms; * Reverse-engineer or interfere with Platform infrastructure; * Attempt to gain unauthorized access to accounts, systems, or data; * Manipulate reviews, ratings, or marketplace activity; or * Engage in conduct prohibited by the Marketplace Rules.

Seller Responsibilities

Sellers are responsible for: * Their products and listings; * Product accuracy; * Product legality; * Intellectual-property rights; * Fulfillment; * Customer service; * Applicable seller policies; * Applicable taxes and tax obligations not collected or remitted by Let's Soirée; * Refunds owed because of seller-related issues; and * Compliance with the Seller Agreement and Marketplace Rules.

Disclaimer of Marketplace Responsibility

Let's Soirée does not guarantee that every seller is legitimate, that every product will meet a buyer's expectations, or that every transaction will be completed without issue. Products are provided by independent sellers. To the maximum extent permitted by law, Let's Soirée disclaims warranties and representations concerning third-party products except where expressly provided by applicable law or an applicable Platform policy. Nothing in these Terms limits rights or remedies that cannot lawfully be limited.

Suspension and Termination

Let's Soirée may restrict, suspend, or terminate accounts, shops, listings, or Platform access where appropriate, including for: * Fraud; * Copyright or intellectual-property violations; * Prohibited products; * Off-platform transactions; * Repeated fulfillment failures; * Excessive cancellations; * Chargeback abuse; * False or misleading information; * Payment-provider verification failures; * Safety concerns; or * Serious or repeated policy violations. Enforcement may range from warnings or listing removal to temporary restrictions, suspension, or permanent removal depending on the circumstances. Closing an account or shop does not eliminate obligations relating to existing orders, refunds, chargebacks, fees, disputes, intellectual-property claims, or other outstanding obligations.

Policy Changes

Let's Soirée may update these Terms and related policies from time to time. Where appropriate, material changes will be communicated through the Platform or other reasonable means. Changes to the Founding Seller marketplace fee will not change the 6% rate for qualifying Founding Sellers while they remain eligible under the Founding Seller Program.

Governing Law and Disputes
